I am assuming you are talking about the VX-I and VX-II? Below are the main feature difference:

VX-I : Magnesium Flouride len coatings and 1/4" MOA Friction Adjustments

VX-II: Magnesium Flouride coating on internal lenses and Multicoat 4 on external lenses, also 1/4" MOA Click Adjustments.

This will all change for the 2004 models.
